Dear Mr. Roberts:

We are pleased to inform you that we have approved a grant of $200,000 to ICANN for a project under your direction to promote the public interest in nontraditional, international venues where policy is made that affects the Internet, its use, and its impact on society.

The Foundation provides this grant with the understanding that this project will be conducted at all times in the spirit and language of the Tax Reform Act of 1969, and that the funds will be used solely for such purposes as set forth in your proposal, and budget of October 10, 1999.

The Foundation has on file your organization's IRS status document. However, if there have been any changes, we would appreciate receiving the new document.

BUDGET AND PROJECT TERMS

The budget consists of the following:

PHASE I – $100,000 to be used as follows:

1) Membership Program Manager - 6 months including benefits    $30,000
2) Technical Services contract for design, development, installation and testing of membership computer applications    $30,000
3) Purchase of membership computer software, server, and network interface    $15,000
4) Professional services to assist with design and coordination of At Large membership outreach program element    $15,000
5) Travel, misc. out of pocket expenses and contingency    $10,000

PHASE II – $100,000 to be used as follows:

6) Professional services and educational materials for expanded global outreach, recruitment, and public awareness programs    $50,000
7) Funds to attract matching in-kind donations of Internet portal advertising space, public service announcements, etc.    $25,000
8) Translation of key At-Large membership documents, brochures, web pages, etc., into major languages    $25,000
Total Budget
  $200,000

It is our understanding that work on the project will begin November 1, 1999 and end June 1, 2000. Any change in plans or the budget must be approved by the Foundation.

The Markle Foundation has assigned number 001010BP-B to this grant. Please refer to this number in all correspondence concerning this award. Any grant funds not expended or committed for the purposes of the grant must be returned to the Foundation. It is our policy to reserve the right to examine your records and statements concerning our grant at any time.

PAYMENT SCHEDULE

The Foundation plans to remit payments as follows:

$50,000 upon receipt of the signed award letter
$50,000 upon initiation of Phase II, estimated to begin on March 15, 2000, along with the receipt of a financial report covering the first payment, using the enclosed template for financial reporting
$50,000 upon completion of Phase II, estimated date of completion May 1, 2000 with the receipt of a financial report covering the previous two payments
$50,000 upon completion of Phase I, estimated date to be June 1, 2000, along with the receipt of a financial report covering the previous three payment

if necessary, the payment schedule may be adjusted upon approval.

The Foundation will review and appropriate this grant on a quarterly basis; continued funding is contingent on our receipt of complete financial reports and evidence of satisfactory performance of the objectives of the grant. We would appreciate the financial reports prepared and signed by the appropriate fiscal officer.

REPORTING SCHEDULE

If you would like your report published on the Markle Web site, or would like only portions of it to appear, please let us know at the time of submission, and please submit a disk copy of the report. Refer to the enclosed guidelines for guidance in preparing the interim and final reports.

The Foundation publishes general information about all of its awards, both in print in its annual report, and electronically on its Web site (http://www.markle.org) and hereby reserves all rights to do so.

The Foundation has no specific plans for publicity beyond this, but will be glad to cooperate with you in any arrangements you wish to make.

ACKNOWLEDGMENT OF AWARD

Publications and other electronic or printed materials that are part of this grant should identify the Markle Foundation as sponsor as we request.

TO INITIATE PAYMENT

The Foundation will be pleased to remit the first payment on this award upon receiving a signed copy of this letter accepting the grant and demonstrating your willingness to receive and administer the funds subject to the limitations set forth here.
