Proposed Resolution Concerning Term of Initial At Large Directors

NOTE: At its meeting to be held August 25 and 26, 1999, in Santiago, Chile, the ICANN Board will consider the resolution posted below.

Article V, Section 1 of the ICANN Bylaws provides that the At Large members of the Initial Board of Directors shall serve until September 30, 1999, unless by a two-thirds vote the Board extends the term of some or all of them for an additional period, to expire no later than September 30, 2000. The following resolution will be considered by the Board at its meeting in Santiago on August 25 and 26, 1999:

RESOLVED, that under in Article V, Section 1 of the Corporation's bylaws the term of each of the At Large Directors of the Initial Board is extended to expire on the sooner of (i) the seating of the At Large Director's successor selected pursuant to the process referred to in Article V, Section 4(iv) of the Bylaws and (ii) September 30, 2000.
