Re: Escrow proposal

Dear Elana,

Thank you for contacting Guard-IT Corporation.  Based on our discussion, I have outlined two options for the escrow of Register.com’s registry database(s).  Also attached is a sheet that describes Technical Infrastructure/Specifications and outlines logistics for Electronic Services.

Option 1 describes our highest-end offering, using digital transfers, weekly offloading to CD, and 24/7 monitoring, security and network support (See “Technical Infrastructure and Specification” attached).  This method is designed for Depositors who seek an automated, “hands-free” solution for electronically escrowing large amounts of sensitive data.

NOTE: With Option 1, monthly data transfer and storage fees would be subject to price increases, as your data volume increases.  The higher costs for this Option are relative to the maintenance, security and support of the data center.

Option 2 represents a more traditional and cost-effective approach.  With this physical deposit method, Register.com would encrypt/compress the data to CD(s) and deliver these weekly updates to Guard-IT (i.e. via express courier) for vault storage.  This very common and secure method of data delivery is used by most of our Clients.

NOTE: Option 2 represents fixed-rate fees for both your existing registry database and any new registries you develop, as the costs will not fluctuate due to data volume increases.  Also, we lock-in all of our fixed-rate fees for up to three years.

I will follow up with you by phone to discuss these Options and any special terms of the escrow agreement you might need to apply.  Please contact me if you have further questions or need additional information.

Sincerely,

Jim Ford, CEO
