Amendment 1 to Memorandum of Understanding
ICANN Address Supporting Organization

The Internet Corporation for Assigned Names and Numbers (ICANN), the Asia Pacific Network Information Centre (APNIC), the American Registry for Internet Numbers (ARIN), and Réseaux IP Européens Network Coordination Centre (RIPE) signed the ICANN Address Supporting Organization (ASO) Memorandum of Understanding (MOU) on 18 October 1999. Those signatories now make the following Amendment 1 to the ASO MOU:

1. Section 2(b) of the ASO MOU is provisionally revised to read as follows:

"(b) Term. The term of Address Council members will be 3 years. Terms shall expire at the conclusion of December 31 Coordinated Universal Time (UTC). The initial Address Council members selected within each region will have staggered terms ending on the second, third, and fourth December 31 after their selection. The process by which these initial members are selected must also determine in an open and transparent manner, the assignment of terms to each of the initial members. In the event an Address Council member's term expires before a successor is chosen or the member is selected for a new term, the member shall continue to serve after the expiration for up to six months until either of those events occur. At the expiration of six months the position shall be declared vacant."

2. The amendment to Section 2(b) described above shall become provisionally effective upon the signing of this Amendment 1 by ICANN, APNIC, ARIN, and RIPE. It shall become finally effective on 1 July 2001 unless before that date APNIC, ARIN, or RIPE notifies the other three parties in writing that a required ratification by its membership of this amendment has not occurred, in which event the amendment to Section 2(b) will cease to be effective on 1 July 2001.

3. In the event additional RIRs join in signing the ASO MOU, they must also agree in writing to this Amendment 1.

4. This Amendment 1 may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
