Dear Mr. Graves: Amendment 11 to the above referenced Cooperative Agreement contemplates certain activities on the part of "NewCo," the not-for-profit corporation described in the "Management of Internet Names and Addresses" 63 Fed. Reg. 31741 (1998) (hereinafter "Statement of Policy") and recognized by the United States Government in accordance with the provisions of the Statement of Policy, for so long as the United States Government continues its recognition of "NewCo." Pursuant to a Memorandum of Understanding (MOU) between the U.S. Department of Commerce and the Internet Corporation for Assigned Names and Numbers (ICANN) dated November 25, 1998, the United States agreed with ICANN to collaborate to design, develop, and test the mechanisms, methods, and procedures that should be in place and the steps necessary to transition management responsibility for Internet domain name system (DNS) functions now performed by, or on behalf of, the United States Government to the private sector. The term of this agreement is September 30, 2000, unless otherwise terminated or amended by the parties. Accordingly, in the performance of its
obligations under the MOU, and until such time as the MOU is
terminated, ICANN shall be considered as the "NewCo"
identified in Amendment 11 of the Cooperative Agreement for the
purposes of carrying out the functions and activities ascribed
