CONSENT IN LIEU OF SPECIAL MEETING OF DIRECTORS

The undersigned, being all of the Directors of Group One Registry, Inc., a Delaware corporation, by this instrument in lieu of a meeting of Directors of this corporation, hereby consent to the adoption of the following resolutions, which resolutions will be deemed adopted when all of the Directors have signed this Consent, and hereby waive any notices required by law with respect thereto:

APPLY TO RECEIVE DELEGATION OF TLD FROM ICANN

RESOLVED, that the corporation wishes to be delegated authority by the Internet Corporation for Assigned Names and Numbers (ICANN) to act as registry for a new Top Level Domain (TLD);

BE IT FURTHER RESOLVED, that Paul Stahura is hereby authorized and empowered to act on behalf of the corporation to submit application to ICANN and take any and all other action necessary to secure the delegation of a TLD to the corporation.

This Consent may be signed in counterparts.
