Each director holds office until the next annual meeting of stockholders or until his successor has been elected and qualified. Officers are elected by the Board of Directors and serve at the discretion of the Board.

Zeb Bhatti is the founder of the Company and has been its Chairman of the Board and Chief Executive Officer since its inception. Prior to his involvement with WebVision, Mr. Bhatti founded NovaQuest InfoSystems in 1985, a $250 million network and systems integration value added reseller. Under Mr. Bhatti's guidance, NovaQuest became one of the nation's largest MicroSoft Solution providers, Microsoft Training centers, and Novell and Banyan systems network integrators. In 1996, WebVision was started as a subsidiary of NovaQuest and subsequently NovaQuest changed its corporate name to WebVision. Mr. Bhatti has been a Technology Specialist, Network and Database Systems Engineer, and a Business Executive for over 22 years. He began his career in Management Information Systems (MIS) as a Business Systems Analyst with Service Bureau Company (SBC), a division of Control Data Corporation. His management career began in the Electionic Data Processing Audit, Systems Security and IT Disaster Recovery division of Lloyd’s Bank of California. In addition, Mr. Bhatti has held senior IT Security and management positions at Warner Communications, Inc. and MIS management positions at Coast Savings and Loan Association. He earned both a B.S. in Industrial Administration and a M.B.A. in Finance from Northrop University, as well as a M.S. in Computer Science from California State University, Los Angeles.

Michael Michigami is Executive Vice President and Chief Operating Officer and oversees all business operations of the Company, including sales and marketing, engineering, finance, operations, research and development, planning, administration and corporate development. Mr. Michigami brings over twenty-five years of industry experience and prior to his association with WebVision Mr. Michigami co-founded and served as the President and Chief Operating Officer of Get-Media, Inc., a business-to-business e-commerce solution for radio stations. Mr. Michigami also served as the President of MMM Business Advisory Services and held several other senior management positions in Internet, telecommunications, computing and networking companies, including Digital Microwave, Datapoint, United Technologies, General Electric Capital, Booz Allen and Hamilton, Texas Instruments and Data General. Mr. Michigami received an M.B.A. in Corporate Finance from the Wharton School of the University of Pennsylvania and a B.A. in Psychology from Trinity College in Hartford, Connecticut.

Mike Heather is Chief Financial Officer is responsible for the Company's finance, accounting and purchasing functions. Mr. Heather has an extensive background in finance and accounting and prior to joining the Company he was a Senior Partner at Deloitte & Touche, with a focus on high-growth and entrepreneurial companies. Mr. Heather was a founding member of several of Deloitte & Touche's individual practice groups, including the entrepreneurial services group and the technology industry group, and has significant experience in initial public offerings, capital formation and corporate structuring. Mr. Heather holdes a Bachelor's of Commerce Degree from Rhodes University.

Paul Stahura, the President of WebVision subsidiary eNom, Inc., was one of five partners who founded Syllogistics, LLC in 1996. Syllogistics grew to a 55-employee web consulting company that merged with WebVision in July 2000. Paul is now a regional manager with WebVision. He is also the founder and President of eNom, Inc. eNom, founded in 1998, is an ICANN accredited registrar, and a wholly owned subsidiary of WebVision. He also has over 15 years of experience architecting, implementing, deploying and leading several large software and database intensive projects for various companies. His technical experience consists of Visual InterDev, C, C++, SQL, Visual Basic, HTML, and other 3rd and 4th generation programming languages and environments across a wide variety of platforms such as the PC, Macintosh, and UNIX Machines. Paul holds both Master of Science and Bachelor of Science degrees in Electrical Engineering from Purdue University.

Bob Sherman is Vice President of Sales and recently joined WebVision. He brings deep experience in Systems Sales from Wang Systems, Marketing experience with GTE and International Sales and Marketing experience as an independent consultant focusing on South East Asia, China, and North Africa market.

Steve Brown is Vice President of Consulting Services and has extensive experience in the large-scale development of systems utilizing relational databases and fourth generation languages, both as a project manager and a developer. Prior to the establishment of Syllogistics, he was a manager for the consulting firm of Ernst & Young, LLP where he lead several development efforts utilizing object oriented principles and techniques. Currently, he heads our Vantive Consulting Practice where he has implemented Customer Relationship Management Solutions for a dozen companies while building a well respected team that has implemented a dozen more. Steve holds a Bachelor of Science degree in Information Systems from Virginia Commonwealth University and has fifteen years of Industry experience.

Stephen DuBose is Vice President of Corporate Development and Planning and oversees the Company's marketing department, with responsibility for planning and corporate development. For the past ten years Mr. DuBose has been a direct investor and overseen the planning and financial operations of several start-up companies, including A-D, Inc., Boston Market, Inc., McKey de Columbia, SA, Waldo's Dollar Mart LLC and AFCGrocers.com. Previously, Mr. DuBose working in commerical banking, investment banking and international acquisitions for Merrill Lynch Capital Markets, Bankers Trust Company and GE Capital. Mr. DuBose holds a M.B.A. in Finance and accounting from the University of Chicago Business School and a Bachelor's Degree in Mathematical Economics from Brown University.

Mark Doran, Director, joined Freeman Spogli in 1988 and became a General Partner in 1998. Previously, he was a Corporate Finance Analyst in the High Yield Bond Department of Kidder, Peabody & Co. Incorporated. Mr. Doran graduated magna cum laude with a bachelor's degree in economics and political science from Saint Michael's College in 1986.

Dr. Nazir Khaja, Director, has been responsible for developing a substantial amount of the Company’s international business, primarily in Malaysia and Saudi Arabia. Dr. Khaja is a physician, and serves on the clinical faculty at UCLA School of Medicine. He was awarded the Educator of the Year Award by the Harbor/UCLA division of Gastroenterology. Dr. Khaja has extensive contacts and relationships internationally, especially with countries in the Middle East, Malaysia, Indonesia and South East Asia. He has served on various non-profit national, community, and other organization boards including the Rainbow Push Coalition where he was member of Reverend Jesse Jackson’s delegation to Yugoslavia. Dr. Khaja is currently the Chairman of the Board of the Washington, D.C. based American Muslim Council, through which he has been instrumental in various peace keeping efforts worldwide.

Samuel Plum, Director, has been a Managing General Partner of SCP Private Equity Partners, L.P. since its commencement in August 1996 and was an employee of Safeguard Scientifics, Inc. from 1993 to 1996. From February 1989 to January 1993, Mr. Plum served as president of Charterhouse, Inc. and Charterhouse North American Securities, Inc., the U.S. investment banking brokerdealer divisions of Charterhouse PLC, a merchant bank located in the United Kingdom. From 1973 to 1989, Mr. Plum served in various capacities, including Managing Director and partner, at the investment banking divisions of Painewebber Inc. and Blyth Eastman Dillon & Co., Inc., respectively. Mr. Plum is Chairman of Vortex Sound Communications, Inc. and also serves as a director of Metallurg Holdings, Index Stock Photography, Inc., PacWest Telecomm, Inc., Webvision Inc., World ByNet.com, Inc., Doublespace LLC, and the Philadelphia Zoological Society. Past directorships include Tishman Holding Corporation, Icon CMT Corp., Quaker Fabrics Corporation and the National Audobon Society, the latter two as Chairman. Mr. Plum holds a B.A. degree in History from Harvard University and an M.B.A. degree from the Harvard Graduate School of Business Administration.

Dr. Mansoor Shah, Director, is a physician, and is currently Chief Executive Officer and Chairman of the Board of the Lakewood Health Plan and President of The Lakewood Primary Care Medical Group. He is on the Board of Governors for the Lakewood Medical Center and has served as its Chairman for three years. He has served on various non-profit national, community, and other organization boards. Dr. Shah is also Founder and Chairman of the Council on Pakistan American Affairs, through which he has been instrumental in various social and political efforts worldwide.

J. Frederick Simmons, Director, has been a General Partner of Freeman Spogli & Co. since 1991 after joining Freeman Spogli in 1986. Prior to joining the firm, Mr. Simmons was a Vice President in the Los Angeles office of Bankers Trust Company, specializing in lending to leverage buyouts. From 1978 to 1984, Mr. Simmons held other key positions with Bankers trust, which included responsibility for middle market lending in Southern California and serving in the Commercial Banking Group in New York City. Mr. Simmons graduated cum laude with a bachelor's degree from Williams College in 1978 and received his master's degree in business administration from New York University in 1982.

Robert Verratti, Director, is a venture partner and consultant to the chairman of Safeguard Scientifics and TL Ventures, a venture capital firm focused on the technology industry. From 1997 to 1998 he was the CEO of National Media Corp. From 1995 to 1997 he served as a consultant to the Chairman of the Board of Safeguard Scientifics. Starting in 1980 Mr. Verratti has been the President and owner of Charlestown Investment, Ltd., a private firm which takes equity and debt positions in public and private companies. Prior to CIL, Mr. Verratti was CEO and a Director at Globe Ticket Company. He has served as President of Great Western Cities. Inc., and has worked at Electronic Data Systems (EDS)/DuPont Glore Forgan (DGE). From 1966 to 1971 he served in the U.S. Navy as a commissioned officer in the Nuclear Submarine Service. He graduated from the U.S. Naval Academy in 1966 with a degree in Nuclear Engineering. He currently sits on the Board of Directors of CRWF Inc. and of Pacific Title/Mirage Studios, Inc.

William R. Wilson, Director, is the co-founder of Denota Ventures, LLC, an investment firm targeting the internet and technology sector. Prior to founding Denota, Mr. Wilson served as President and CEO of Splitrock Services from April of 1997, when he co-founded the company, until Splitrock merged with McLeodUSA in March of 2000. Prior to Splitrock Services, Mr. Wilson was the CEO of OneLine Management, a telecommunications consulting firm specializing in strategic positing founded by Mr. Wilson in 1995. In that capacity, Mr. Wilson advised Carso Global and Telmex on strategic matters. From 1989 to 1995, Mr. Wilson was Vice President of Strategic Planning at WilTel. Previously, Mr. Wilson taught at Rice University, the University of Texas at Austin, and the University of Michigan. Mr. Wilson holds a Ph.D. in Social Psychology from the University of Michigan and an M.B.A. from the University of Texas at Austin.
