U2. WHEREAS: The Internet Multicasting Service ("IMS") is a public corporation chartered in 1993 under the laws of Delaware, and certified as a public, tax-exempt foundation under section 501(c)(3) of the IRS code and by the state of California; and

U3. WHEREAS: The Internet Software Consortium ("ISC") is a public-benefit, not-for-profit corporation chartered under the laws of California; and

U4. WHEREAS: The Internet Corporation for Assigned Names and Numbers ("ICANN") has issued a notice of intent to solicit proposals for an organization to assume operation of the .org registry, effective when the present .org registry operator's contract ends in December, 2002; and

U5. WHEREAS: IMS has significant experience and unique expertise in managing large infrastructure projects on the Internet and in running large database services, and

U6. WHEREAS: ISC has experience and unique expertise in operating critical services and producing production software for core Internet infrastructure, and

U7. WHEREAS: IMS and ISC have jointly and severably conducted a series of large Internet projects, and have a long history of successful cooperation; and

U8. WHEREAS: the Boards of Directors of IMS and ISC have caused corporate officers and members of the Boards of both organizations to investigate the feasibility and desirability of IMS and ISC jointly participating in the ICANN solicitation for an organization to operate the .org registry upon the expiration of the present operator's term; and

U9. WHEREAS: the corporate officers and members of the Boards of both organizations have determined that it is both feasible and desirable for IMS and ISC to jointly operate the .org registry, and that IMS and ISC have unique experience, expertise, and qualifications making them ideally and uniquely suited to undertake such an operation; and

U10. WHEREAS: the corporate officers and members of the board have prepared the Proposal, herein attached and incorporated by reference;

BE IT THEREFORE:

U11. RESOLVED: that the respective Boards of Directors of IMS and ISC hereby commit and agree to IMS submitting to ICANN a proposal, herein attached and incorporated by reference, which demonstrates the joint expertise and unique suitability to operate the .org registry, and hereby authorize IMS to submit such proposal; and be it further

U12. RESOLVED: that should IMS be appointed to operate the .org registry, then ISC commits to work jointly with IMS to operate the .org registry; and be it further

U13. RESOLVED: that upon IMS signing the contract to operate the .org registry, ISC shall execute a corresponding contract obligating ISC to work jointly with IMS to most effectively administer and operate the .org registry, which contract period shall coincide with the contractual period during which IMS shall operate the .org registry.
